Intellectual Property and Account Ownership
Definition of Agency Intellectual Property: The Client acknowledges that any and all campaign structures, keyword lists, negative keyword strategies, bidding methodologies, ad copy, custom scripts, and optimization techniques developed or implemented by the Agency during the term of this Agreement constitute the proprietary Intellectual Property (IP) and trade secrets of the Agency.
Account Shell and Configuration Ownership: While the Client retains ownership of their financial billing profiles and any underlying historical performance data paid for directly by the Client, the structural setup and active configurations within the Google Ads account shell remain the property of the Agency during the active management period.
License to Use: The Agency grants the Client a non-transferable, non-exclusive license to use the campaign builds solely during the active term of this Agreement and while paying the agreed-upon monthly management fees.
Account Termination and Transfer Options: Upon termination of this Agreement by either party, the Agency’s manager access will be unlinked, and the campaign configurations may be paused or deleted, unless one of the following conditions is met:
Standard Termination: The Client elects to start a new account build independently, losing access to the Agency's structural builds.
